Randy Duncan is chair of the firm’s Business Department. Randy provides “outside general counsel” services to executives and entrepreneurs in a wide range of industries including manufacturing, health care, retail, real estate, and professional services. He assists clients in understanding and prioritizing the business and legal issues facing their company, so they can make well-informed and sound decisions. Randy’s practical approach to help clients “get the deal done” make him a valuable business partner.
Randy’s practice emphasizes business, real estate, corporate, LLC, and estate planning matters for closely held businesses and their owners, together with commercial and business dispute resolution. Whether you are negotiating a merger, acquisition, or sale of a closely held business, dealing with shareholder or employee planning matters, or in need of advice on contract drafting and negotiations, business entity formation, or intellectual property protection, Randy has the expertise you can rely upon.

Randy has received an AV® preeminent rating–“signifying the highest level of professional excellence”–in the confidential peer review conducted by the Martindale-Hubbell National Law Directory and was recognized as an Oregon Super Lawyer® in 2006, for Closely Held Businesses. Randy is admitted to the Oregon, Washington, and California State Bars, as well as the U.S. District Court of the District of Oregon, the U.S. Court of Appeals for the Ninth Circuit, and the U.S. Tax Court.
Randy has served as voluntary counsel for the Oregon State Bar in OSB disciplinary proceedings, as a director of the Multnomah Bar Association Young Lawyers Section, and was a Master of the Gus J. Solomon Chapter of the American Inns of Court. He is also involved with the Oregon Business Association and the Oregon Entrepreneurs Forum. Randy is active in a variety of marine and charter vessel interests and has served as Judge Advocate to Portland Yacht Club.
Education
Randy received his J.D. from the University of the Pacific, McGeorge School of Law in 1983. He earned his B.A., cum laude, from the University of California at Los Angeles in 1980.
